Overview

Emma is an experienced projects lawyer and advises energy generators, large energy users, vendors, purchasers, government departments, local authorities, funders and contractors on all aspects of projects and project finance transactions, particularly in the oil and gas, waste and renewables sectors.

Emma helps clients put in place contractual solutions to develop robust energy projects, including fuel supply, heat supply/offtake, grid connection and power purchase (with licensed suppliers, via private wire and through corporate PPAs).

Emma’s experience includes:

  • waste and fuel supply agreements
  • offtake arrangements including power purchase agreements, corporate PPAs, heat supply arrangements and private wire
  • energy sector regulatory advice including: Renewables Obligation, Feed-in Tariff, Contracts for Difference, Renewable Heat Incentive, Capacity Market and energy licensing
  • leading due diligence on waste and energy sector acquisitions, disposals and financings including onshore and offshore wind, solar, gas peakers and EfW
  • energy trading and energy supply agreements, and
  • local authority waste collection and disposal.
Experience
  • Advising a number of developers including Quinbrook Infrastructure Partners Ltd and Forsa Energy Gas Acquisitions Limited on the purchase of shovel-ready, gas-powered, reserve power projects, including reviewing relevant contractual arrangements and providing advice on Capacity Market agreements.
  • Advising a number of developers including BayWa r.e. Solar Projects GmbH and ERG on potential investments in renewable energy projects including reviewing regulatory consents and licences and relevant contractual arrangements and providing advice on the application of incentives including the Renewables Obligation, the Renewable Heat Incentive and Contracts for Difference.
  • Advising a large corporate on direct PPA structures and documentation, including negotiating terms of the PPA with the generator and the back-to-back PPA with the licensed supplier and advising on how the direct PPA structure fits into the client’s current energy supply contract.
  • Advising a wind developer on the terms of a project development agreement to be put in place with its preferred contractor in relation to the sourcing and development of a pipeline of onshore wind projects.
  • Advising an investment fund on the acquisition of the largest portfolio of ground-mounted solar parks in Europe. Co-ordinating cross-disciplinary due diligence on c.100 solar parks.
  • Advising Estover Energy Limited on development, construction and operational issues in relation to (i) the 12MWe Speyside biomass with CHP plant; (ii) the 27.7MWe Cramlington biomass with CHP plant; and (iii) the 27.8MWe Discovery Park biomass with CHP plant, including advising on energy offtake arrangements both over private wire and grid export and the negotiation of complex pricing structures.
  • Advising Isle of Wight Council on the procurement and funding of a 25 year integrated waste collection, treatment and disposal contract.
