Overview

Jessica is a senior associate in the firm’s corporate tax team. She advises on a wide range of corporate and business tax issues, including corporate and real estate transactions; VAT, stamp taxes; reliefs available to businesses and their investors and international tax issues. Jessica also assists clients in dealing with HMRC enquiries and investigations. 

Jessica is an expert in charity law, where she advises on issues including governance and constitution; trustee duties; investment; trading and relationships with commercial participators; mergers and tax.

Jessica is a member of the CIOT and is a chartered tax advisor.

Experience
  • Advising a company in the food and farming business on the tax consequences of an internal reorganisation.
  • Advising a client in the energy sector on the availability of the substantial shareholders exemption and other tax reliefs following a restructuring.
  • Advising a large landowner on the VAT aspects of the disposal of part of its property portfolio.
  • Advising a client in the tech sector on the VAT treatment of an initial coin offering.
  • Advising a large international group on the tax residence status of various group companies.
  • Advising John Lewis and Waitrose on the tax and charity law consequences of arrangements with their foundations and other charities.
  • Advising both sellers and purchasers on the tax aspects of share and asset sales, including recently acting for ERG Power Generation SpA on the sale of BWFL for c.£160 million, Jardine Lloyd Thompson Group on its acquisition of Chartwell Healthcare, LDC on the sale of its stake in traffic management provider Amberon and a US group in the education sector on the acquisition of a UK company.
