Working with private equity and venture capital houses, investment funds, corporates, management teams, senior, mezzanine and other debt providers, vendors and business angels, our private equity lawyers support our clients across development capital transactions, buy-outs, public to private transactions, refinancings, restructurings and exits.

We provide pragmatic advice tailored to our clients’ specific needs, with the ability to negotiate difficult transactions and advise on complex, industry specific matters.

We also work with other specialist lawyers within our firm, as well as our international network, to provide investee companies with ongoing commercial and corporate support as they grow and develop.

When it is time to execute an exit strategy, we have a significant track record of listings, trade sales and secondary market transactions, among other options.

Advised LDC on its investment in traffic management provider Amberon and advised LDC and management on the subsequent sale to H2 Equity Partners

Advised management on the £110m buyout of Trustmarque Solutions from Capita plc by One Equity Partners

Advised founder shareholders of Eton Bridge Partners, a leading executive search, interim management and consulting firm, on Elysian Capital’s acquisition and investment (alongside management) in the company

Advised the UK and US senior management team of Hydro International on its acquisition by pan-European private equity firm Agilitas, alongside EQT

Advised BGF on a series of investments including Exeter based house-builder Burrington Estates, wine brand developer and distributor Off-Piste Wines and engineering consultancy Hydrock

Advised the founders of lounge and café bar chain Loungers on an investment by and partial exit to Piper Private Equity LLP and subsequently on £137m partial exit to Lion Capital

Advised management shareholders on the investment by Sovereign into Lifetime Training Group and the outgoing founders and Sovereign on the subsequent exit to Silverfleet Capital

Advised management on the £160m Warburg Pincus backed buy-out of Supplier Assessment Services from Capita plc

Advised management of Hector Rail Group (the largest private rail freight operator in Scandinavia) in connection with the buyout by infrastructure group, Ancala, of EQT Infrastructure’s interest

Advised the shareholders of Omlet, the fast growing design-led pet accessories brand, on the £33 million investment by Piper Private Equity

Advised Fern Trading and Octopus Investments on the acquisitions by Fern of alternative network provider Jurassic Fibre Limited and established Openreach Communications provider Swish Fibre, along with associated long-term funding agreements with a cumulative value of up to £475 million.

Advised Inverleith on its successful acquisition of a significant minority stake in the Scottish gin and whisky distiller Eden Mill and a majority stake in outdoor clothing brand Montane

Advised Bridges Fund Management on a number of investments including low-cost gym franchies energie Fitness and children's residential care provider New Reflexions and the sale of Babington Training Limited

Advised Causeway Capital on a number of investments including online fashion retailer InTheStyle, patisserie chain Patisserie Valerie and graduate and school leaver recruitment services provider GTI Group

Advised ECI and management on the sale to Livingbridge of rhubarb, a provider of premium food and beverage experiences across events and iconic locations, primarily in London and the South-East

Advised the shareholders of Lightfoot Innovations, the UK’s leading provider of driver behaviour solutions for light commercial vehicle fleets, on its investment from Volpi Capital, including securing a successful exit for BGF

Advised Tiger Infrastructure on its lead investment into Stellium Datacenters, the operator of one of the largest purpose built datacentre campuses in the UK and a 25 mile fibre-optic ring in Newcastle upon Tyne

Advised Zetland Capital on a number of acquisitions including the Macdonald Manchester Hotel, the Macdonald Holyrood Hotel and a portfolio of 12 high quality pubs located across London

Advised leading inland surf park operator The Wave Group on an investment by Sullivan Street

Advised invoice financing provider Reevoy Capital on three funding rounds including investments from prominent venture capital firms Stellaris, Better Capital, 9Unicorns and VCATS

Advised Callen-Lenz Associates (a developer, designer and manufacturer of air vehicles, vehicle components and navigation and communication software for high performance UAVs globally) on the debt and £5 million equity investment from Foresight.

Advised Legatics, a legal transaction management software provider, on a £3 million investment from Mobeus

Advised Panoramic Growth Equity on its investment into alcohol-free craft beer company Big Drop Brewing as part of a £3.5 million funding round, with Panoramic investing alongside Rubix Ventures, Flexitalian and existing investors

Advised Calcivis (a noted innovator in the healthtech sector), on the latest in a series of funding rounds, being a £1.52 million equity investment by existing investors Archangels, Scottish Investment Bank and others

Advised Gordon Investments on the purchase of the Institute of Certified Practising Accountants
