There is no such thing as a ‘typical’ real estate fund - so our team of real estate funds lawyers work closely with clients to understand the needs of investors, the key objectives for the fund and the tax requirements.

We work with the full range of professionals in the funds’ sector, including:

  • investors – reporting to them on the terms of an existing fund and agreeing side letters with investment managers
  • fund managers – establishing a new fund, re-organising or refinancing an existing fund or ultimately selling the assets and winding up the fund
  • promoters – ensuring compliance with the financial promotion regime
  • administrators and FSA authorised operators – agreeing their service and operator/management agreements with the fund.

Our real estate investment team has a wealth of experience in advising funds on acquisitions and disposals, property and asset management agreements and portfolio management generally. 

Our real estate funds experts have advised on a range of funds; our experience includes advising on funds:

  • that are incorporated in all of the major “offshore” jurisdictions (such as Jersey, Guernsey, Luxemburg, the BVI and the Cayman Islands)
  • that are established using a variety of vehicles (such as limited partnerships, unit trusts, LLPs and PAIFs)
  • which invest in a range of underlying assets across the high-end residential, student, office, retail, leisure and industrial sectors.

Where specialist legal advice is required from other jurisdictions, we have an international network of lawyers who can advise on specific issues relevant to our client if required.

Experience

Acting for Ahli United Bank on the sale of its entire sharia compliant, middle-eastern owned, Guernsey based UK property fund for £271 million for which the firm won Real Estate Team of the Year at the Legal Business Awards 2016.

Acting for Falcon Managers Limited on the disposal of the entire of Falcon Property Trust, a UK unit trust investing in industrial property, to Legal & General for more than £100 million.

Acting for Aviva Investors on the reorganisation and subsequent collapse of one of its UK property funds.

Acting for Darwin Property Investment Management on the set-up of a new fund structure.
