James is a Director in our Banking and Finance team. Prior to joining Burges Salmon, James spent over ten years with Allen & Overy LLP.
He has extensive experience advising market participants on all aspects of securitisations and other asset backed finance transactions. His clients have included originators, sponsors, arrangers, lenders, asset managers, hedge funds and other private investors.
Asset classes of which James has experience include residential and buy-to-let mortgages, auto loans, credit card receivables, commercial real estate (CRE) receivables, CLOs, trade receivables and supply chain finance receivables, regulated utilities and infrastructure and whole business securitisations. James has worked on a number of financing structures for fintech originators, including forward flow origination transactions and private warehouse facilities.
James previously spent 3 years as a senior UK government lawyer, including with HM Treasury where he was the lead lawyer on the UK government’s negotiation of the Securitisation Regulation.
He also advises borrowers and lenders on broader debt capital markets transactions as well as general corporate and leveraged finance facilities.
Experience
- Hodge Bank: Advising in relation to a £240 million forward flow origination arrangement in respect of auto loans originated by near prime auto lender Blue Motor Finance.
- ENRA Group: Advising on the establishment of their first mortgage backed warehouse loan facility agreement in 2017 and the JLMs on ENRA’s two mortgage backed public securitisation transactions (2020 and 2021).
- Oodle Financial Services: Advising the fintech auto lender on their financing arrangements, including private warehouse facilities and subsequent public securitisations with Citi and BNP Paribas.
- Varadero Capital L.P.: Advising on their £400 million forward flow SME lending platform arrangement with Funding Circle
- Morgan Stanley: Advising on a number of its key UK and European CRE and CMBS transactions.
- SunPower: Advising as sponsor on the first publicly rated and listed solar energy project bond by Andromeda Finance S.r.l.
