Sam is an associate in our Incentives team, advising on a broad range of UK and international share plan arrangements. He trained at Macfarlanes LLP in London.
His work has a particular focus on the structure and implementation of both non-qualified and tax-qualified share plans. He also advises management teams and has experience advising on the share scheme and incentives aspects of both listed-company and private M&A transactions.
Sam is a member of the Share Plan Lawyers Group.

- EQT Partners: Instructed by EQT Partners to advise on the incentives aspects of their £2.2 billion take-private of Keywords Studios Limited, structured by way of scheme of arrangement.
- Gooch & Housego PLC: Advising G&H on the ongoing £345m take-private by Arlington Capital Partners, structured by way of scheme of arrangement.
- StirlingX: Supporting autonomous drone and data intelligence company StirlingX on their management incentive arrangements.
- Octopus Group: Advising on the structuring of its intra-group incentive arrangements, including management incentivisation and restructuring existing incentive plans.
- SPWOne: Instructed by a consortium on a £900 million acquisition and take-private of a FTSE 250 company.
- FTSE 250 asset management company: Advising on the sale of its £7.5b AUM private equity business and the subsequent impact on its ongoing incentives structure.
- Analysing and adapting the UK tax-approved and unapproved incentives arrangements for an AI-augmented planning platform.
