Jessica Reid

About

Jessica is a partner in our Funds and Financial Regulation team. She advises financial institutions on all aspects of UK financial law and regulation. Her clients include asset managers, funds, wealth managers, banks, platforms, payment service providers, corporate advisory firms and placement agents.

Jessica supports with all aspects of UK authorised fund structuring, establishment, mergers and wind-ups, including for UK UCITS and NURS funds, as well as professional vehicles and semi-liquids, such as QIS and LTAFs. She also has a significant amount of experience with charitable funds such as CAIFs and CIFs.

She assists overseas managers distributing funds into the UK, including under the UK’s Overseas Funds Regime and National Private Placement Regime, advising on requirements and preparing disclaimers, supplements and other UK specific disclosures, such as CCI product summaries. Jessica has also advised extensively on ESG regulation, including UK SDR and SFDR. She recently chaired the Investment Association’s Sustainability Reporting Forum.

Jessica regularly works with retail financial services firms such as banks, wealth managers and IFAs, on the development of new products and services. Her work in this area includes perimeter advice, drafting client-facing terms of business, reviewing and negotiating B2B contracts, and helping her clients navigate ongoing regulatory requirements, such as the Consumer Duty.

Experience

  • Global wealth manager: Undertaking a full redraft of the consumer-facing terms of business covering banking, custody and wealth management services.
  • UK ACD: Acting on fundamental changes to two UK retail fund ranges which were actioned simultaneously to a change of ACD and a merger of two sub-funds, all completed within a four-month period.
  • Irish Manco: Advising on applications to the Overseas Funds Regime and drafting various UK disclosures including UK country supplements.
  • UK wealth manager: Advising on a successful minority investment by a US private equity-owned purchaser.
  • UK placement agent: Drafting and negotiating terms of engagement with fund managers and advising on fee mechanics.
  • Large endowment: Assisting with private asset investments, including reviewing fund documentation and negotiating side letter provisions.
