About

Tom heads our Funds and Financial Regulation team, and is a highly regarded and experienced figure in the UK investment management industry.

He specialises in the structuring, establishment, operation and winding up of UK regulated investments funds such as UCITS, NURS, LTAFs and ACSs. He acts for fund operators, investment managers, advisers, platforms, custodians as well as institutional investors such as pension funds.

In addition to client facing work, Tom regularly participates in industry initiatives such as the Investment Association’s Direct2Fund Legal Working Group of senior funds lawyers. He is a regular speaker and commentator on new and evolving regulatory developments such as Assessment of Value, Consumer Duty and the Sustainable Disclosure Requirements.

He is co-author of the chapter on regulated collective investment schemes in ‘Financial Advice and Financial Products – Law and Liability’ published by the Oxford University Press, as well as contributing the UK chapter in the International Comparative Legal Guide to Public Registered Funds.

Experience

  • FundRock Partners: Advising on its successful application (as authorised fund manager of the FP WHEB Sustainability Impact Fund) to adopt a Sustainability Impact Label under the FCA’s Sustainability Disclosure Requirements (SDR) regime.
  • Border to Coast Pensions Partnership: Advising on the launch of its £1.2 billion UK real estate fund, one of the largest of its kind in the UK, taking the form of an authorised contractual scheme, an FCA regulated investment structure.
  • St. James’s Place: Advising on the launch of an FCA authorised fund of alternative investment funds, including product development, regulatory requirements, documentation and the FCA authorisation process including pre-engagement with FCA.
  • Wales Pension Partnership: Advising on its procurement of an operator to establish and run an FCA authorised collective investment vehicle to enable the pooling of circa £15 billion of assets across a range of asset classes.
  • Carne Global Fund Managers (UK) Limited: Advising on the template sponsorship arrangements for its entire UK regulated fund range, including LTAFs.
  • Openwork Partnership LLP: Advising on the regulatory aspects of a strategic investment in The Openwork Partnership from leading global private investment firm, Bain Capital.
