Overview

Rishi joined the Firm in 2020 and is a senior associate in the Corporate Tax team.

Rishi advises on a broad range of corporate and commercial tax issues, including in relation to mergers and acquisitions, renewable energy, private equity, corporate reorganisations, financing arrangements, real estate transactions and transfer taxes. This includes advice to corporate, private and institutional clients on a wide range of UK and international transactions.

Experience
  • Advising the founding shareholders of Omlet, the fast-growing pet accessories brand, on the investment by Piper, a leading UK private equity firm specialising in investing in fast-growing consumer brands.
  • Advising managed by Octopus Renewables on the acquisition of two operational UK biomass power plants with a combined capacity of 85.7MW in the east of England from a joint venture by Copenhagen Infrastructure Partners (CIP) and Burmeister & Wain Scandinavian Contractor (BWSC). The CIP and BWSC joint venture completed construction of the £162m (€186m) Brigg plant and the £175m Snetterton plant in 2016 and 2017 respectively.
  • Advising the shareholders of Lightfoot Innovations, the UK’s leading provider of driver behaviour solutions for light commercial vehicle fleets, on its investment from Volpi Capital, including securing a successful exit for BGF.
  • Advising global and diversified specialty chemicals company Element Solutions on its $60 million cross-border acquisition of H.K. Wentworth Group (HKW), a leading UK-based manufacturer of electro-chemicals for the electronics, LED, automotive and industrial manufacturing industries.
  • Advising long-standing client Taylor Maxwell Group (2017) Limited, one of the UK's leading suppliers of timber and cladding headquartered in Bristol, on its conditional sale to Brickability Group plc, for consideration of up to £63m.
  • Advising Foresight Solar Fund Limited (FSFL) and JLEN Environmental Assets Group Limited (JLEN), as a joint venture, on the acquisition of Sandridge Battery Storage Limited (SBSL), the owner of a consented battery storage project, located in Melksham, UK.
