Overview

We advise clients on all aspects of reorganisations and demergers. Our team has extensive experience of a wide range of these types of transactions from large group restructurings to stand alone intra group transfers. We work with clients to ensure we understand the project and then work collaboratively with clients and their other professional advisers to ensure an efficient approach to the reorganisation. We also have experience of schemes of arrangements, capital reductions (court and non-court processes) and demergers.

Our corporate team involves lawyers from other specialist teams within the firm as required including employment, corporate tax, real estate, pensions, commercial, intellectual property and banking, to ensure a coordinated approach. Experience

Advising Co-operative Group on the pre-sale reorganisation associated with the sale of Farmcare Limited to the Wellcome Trust for £249 million.

Advising a large UK house building group on a large scale reorganisation involving approximately 100 UK group companies to rationalise them into various divisions.

Advising a FTSE 250 company on a number of capital reductions utilising the private company capital reduction procedure introduced by the Companies Act 2006.

Advising Bank Leumi plc on a court sanctioned scheme of arrangement.

Advising a large utility company in relation to the demerger of a non-core consulting business and the carve-out of nine Polish subsidiaries, in conjunction with a share purchase transaction.

Advising on the demerger of AIM-quoted CODASciSys to form two separate AIM-quoted groups.

Advising Adelie Foods on a group reorganisation project.

Advising Knorr-Bremse Rail on a UK group simplification project.

Advising an AIM quoted company on a corporate simplification project involving business transfers, capital reductions and associated steps.

Advising in respect of an intra-group reorganisation exercise for Corus UK Limited involving the transfer/merger of various UK businesses into a single UK entity.

Advising Arla Foods in relation to an internal reorganisation involving the merger (by transfer of engagements) of its two corporate members both registered societies (formerly Industrial and Provident societies).
